Socium's Sales Terms and Conditions

Confidentiality
All information provided by you pursuant to an estimate/ agreement/ arrangement, shall be treated as confidential by Socium and shall not be communicated, copied or otherwise divulged to any other person or party whatsoever unless authorised by your company.

Socium may only disclose such information (to the extent reasonably necessary):
(a) to its legal advisers in relation to its rights and duties under this agreement;
(b) to its directors, partners, experts, associates, officers, employees, advisers (financial or legal) or agents for the sole purpose of completing the work under this agreement;
(c) where such disclosure is required by the law; and
(d) in connection to legal proceedings between the parties relating to the provisions of this agreement.

Confidential information does not include general technical skills and the general experience gained by Socium during the term of this agreement. In addition, no obligation of confidentiality applies to any information that:
(a) is, or becomes generally available to the public, other than as a result of a wrongful disclosure by Socium or its representatives;
(b) was already possessed or known to Socium without obligation of confidentiality; and
(c) was rightfully received by Socium without obligation of confidentiality from you.

Any agreement will be managed in strict confidence to you and should not be disclosed to any third party, except (and to the extent reasonably necessary):
(a) to your legal advisers in relation to your rights and duties under this agreement;
(b) to your directors, partners, experts, associates, officers, employees, advisers (financial or legal) or agents for the sole purpose of completing the work under this agreement;
(c) where such disclosure is required by law; and
(d) in connection to legal proceedings between the parties relating to the provisions of this agreement.

Without prejudice to the confidentiality obligation herein, Socium has the right, but not the obligation, to describe and use your company’s services, logo and name in connection with any agreement/ arrangement/ engagement. Socium may use them in the manner deemed appropriate which may include on the official website of Socium, mutual development of co-branded web pages or marketing collateral. Unless your company indicates via email to be excluded from the marketing and promotional efforts of Socium, Socium may use the name and logo of your company in its marketing activities/ collateral.

Access to information
It is a fundamental part of our approach to work closely with you as your CCaaS or communication/ marketing project partner. Socium will execute our engagement with you using the information you provide to us. We may ask for clarifications along the way, but we will not undertake to audit or otherwise verify the information you provide to us. Upon your signature of any agreement or acceptance of estimates/ quotations, we will send you our preliminary request with our list of initial information required for the purposes of the engagement.
 
It is your responsibility to provide complete, accurate, non-misleading and timely information required for the execution of our engagement at all times. It is your responsibility to notify Socium if information provided has changed or if you subsequently discover that the information provided is incorrect or inaccurate or incomplete.
 
Socium will not be responsible or liable if necessary information is withheld, concealed from us, erroneous, incomplete, inaccurate, misrepresented, or not timely sent to us.
 
Liability
Socium shall not be liable for any loss or damage whatsoever as a result of the work conducted under any agreement, save in the case of personal injury (including death), gross negligence, wilful misconduct or fraud. Socium’s liability for gross negligence relating to the work under any agreement will not exceed, in any event, the fees paid or payable to Socium under the relevant agreement, save in the case of wilful misconduct or fraud.
 
Each party reserves the right to terminate agreements/ arrangements in an event of breach by the other party of any terms and conditions set out in the agreement.
 
Socium is not liable for failing to fulfil its obligations due to civil or military authority, war, riots, strikes, fire, or other causes beyond its reasonable control.
 
Your company agrees to indemnify Socium from any claim, action, liability, loss, damage or lawsuit arising from your personal or company’s activities.
 
Timelines
We anticipate the full provision of necessary background information and existing marketing collateral from your company within the agreed period of the engagement to allow our team’s design and proposal of the first round of deliverables within the agreed timeline of each engagement. Socium endeavours to deliver the intended results within the stipulated and agreed timelines. These are only achievable with the timely handing over of required information from your company.
 
You acknowledge that the timeliness of each engagement will depend on the accuracy and speed of information and documentation submission your company shall provide to us.

Socium cannot guarantee that every item will be delivered within the desired time frame when it involves any third party(ies), but Socium will perform its own obligations under each agreement without any undue delay.
 
Terms and Termination
Socium may cease to provide the services to you under an agreement and terminate the services in any of the following cases:
(a) If you fail to pay, in accordance with the terms of the agreement, any invoice issued thereunder
(b) If you do not comply with any term of the agreement and fail to comply within thirty (30) calendar days of written notice of such non-compliance
(c) If you go into receivership or voluntary liquidation, or if proceedings are commenced for your winding up or bankruptcy
(d) If you cease to carry on business
(e) If Socium suspects that you violate the laws of Singapore or of any other jurisdiction the agreement might be implicated in
(f) If you do not reply to the requests/ questions related to the engagement from Socium in time or if you do not reply at all
(g) If Socium suspects that you provided any misleading, wrong or incorrect information to Socium
 
Expectations and Agreement
With the completion of any agreement or acceptance of estimates/ quotations, both parties (your company and Socium Consultancy Pte Ltd) understand that:
(a) Socium is authorised as your corporate communication team during the term of engagement to represent your company for any external communication (unless specified in the agreement or due to scope of the project)
(b) Socium will exercise due discretion in the management of your company’s public image, and assist you in any communication-related matters as your in-house communication team or project vendor
(c) Socium is not obliged to abide by any employee policies within your company apart from reputation and image management for your company for CCaaS and FCMO arrangements
(d) Socium will abide to the confidentiality agreement stated in this document during and after the engagement, until the information is made public, or six months from the end of engagement – whichever earlier
(e) Socium is authorised to charge late payment penalties for outstanding invoices past due dates, and such penalties will be recurring until full payment has been made
(f) Any credit card or transaction fees will be borne by payor
(g) The default payment terms are 14 days’ from date of invoice, and 50% confirmation downpayment for projects
